We believe in rewarding partners fairly while retaining the flexibility needed to operate a sustainable business.
These Affiliate Program Terms (“Terms”) govern participation in the Thareja.ai Affiliate Program (the “Program”). By enrolling in or participating in the Program, you (“Affiliate”) agree to be bound by these Terms.
The Thareja.ai Affiliate Program allows approved affiliates to earn commissions for referring new paying customers to Thareja.ai, subject to these Terms and any applicable guidelines provided through our affiliate platform (currently Rewardful).
Participation in the Program is optional, non-exclusive, and revocable.
We reserve the right, in our sole discretion, to:
approve or reject any affiliate application
suspend or terminate any affiliate account at any time
remove affiliates who violate these Terms or applicable laws
No affiliate relationship is created unless explicitly approved by Thareja.ai.
Commission rates, eligibility, and payout schedules are determined by Thareja.ai and may be modified at any time.
Commissions:
are tracked via our affiliate platform
are not earned until paid
may be reversed for refunds, chargebacks, fraud, abuse, or policy violations
We make no guarantees regarding:
commission amounts
conversion rates
program duration
continued availability of the Program
Thareja.ai uses third-party software and services to track referrals, conversions, and commissions, including but not limited to Rewardful and payment processors.
Tracking is provided on a best-effort basis and is not guaranteed. Tracking data may be affected by software bugs, outages, integration errors, browser settings, ad blockers, cookie restrictions, user behavior, or third-party service interruptions.
Thareja.ai shall not be responsible for commissions that are not recorded due to tracking failures or technical issues. Thareja.ai’s tracking records shall be considered final and binding for purposes of commission calculation.
The Affiliate Program relies on third-party platforms and services that are outside of Thareja.ai’s control. Thareja.ai does not guarantee the availability, accuracy, or performance of any third-party service.
Thareja.ai shall not be liable for any losses, damages, missed commissions, or payment disputes arising from failures, errors, delays, or interruptions of third-party services.
This section is intentional and enforceable.
Thareja.ai reserves the right to:
modify commission rates
change payout thresholds or timing
suspend or terminate the Program
discontinue commissions entirely
at any time, with or without notice, for any reason, including but not limited to:
changes in operating costs
changes in AI model pricing or availability
business, financial, or strategic considerations
regulatory or technical constraints
Upon termination:
unpaid, pending, or future commissions may be forfeited
no further commissions will accrue
Affiliates are responsible for:
providing accurate payout information
all taxes, fees, and reporting obligations associated with affiliate earnings
Thareja.ai is not responsible for tax withholding or reporting beyond what is legally required.
Affiliates may not:
misrepresent Thareja.ai or its services
engage in spam, misleading advertising, or deceptive practices
bid on Thareja.ai trademarks without written permission
imply endorsement or partnership beyond participation in the Program
Violation may result in immediate termination and forfeiture of commissions.
Affiliates are independent contractors. Nothing in these Terms creates:
an employment relationship
a partnership
a joint venture
an agency relationship
Affiliates have no authority to bind Thareja.ai.
The Program is provided “as is” and “as available.”
Thareja.ai disclaims all warranties, express or implied, including:
merchantability
fitness for a particular purpose
uninterrupted or error-free operation
To the maximum extent permitted by law:
Thareja.ai shall not be liable for:
lost profits
lost commissions
indirect, incidental, or consequential damages
Our total liability under these Terms shall not exceed the amount of commissions actually paid to the affiliate in the preceding three (3) months.
Affiliate agrees to indemnify and hold harmless Thareja.ai, its officers, directors, employees, and contractors from any claims, damages, losses, or expenses arising from:
Affiliate’s marketing activities
violation of these Terms
violation of any law or third-party rights
Any dispute arising from these Terms or the Program shall be resolved through binding arbitration, not in court.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
We may update these Terms at any time. Continued participation in the Program constitutes acceptance of the updated Terms.
Any discretionary commission adjustment made by Thareja.ai does not constitute a waiver of these Terms or an admission of liability.
